Terms of Service

The terms that govern your use of the Abijany platform.

These Terms of Service ("Terms") constitute a legally binding agreement between Abijany Limited ("Company", "we", "us", "our") and the individual or entity ("Client", "you", "your") accessing or using our AI-powered advertising management platform ("Platform", "Service").

By connecting an advertising account to our Platform, you agree to be bound by these Terms.

1. What We Provide

The Platform provides AI-assisted management and optimisation of digital advertising campaigns on Google Ads (including YouTube campaigns), Meta Ads (Facebook and Instagram), and TikTok Ads on your behalf. The Service connects to your advertising accounts via authorised API access, analyses campaign performance data, and executes optimisation actions — including adjusting bids, modifying budgets, pausing underperforming elements, rotating creative assets, and adjusting targeting — subject to the goals and limits you define.

The Platform operates in one of three modes, in a mandatory sequence:

  • Shadow Mode (free trial) — for thirty (30) calendar days from signup, the AI analyses your accounts and shows what it would do, but executes no changes. No charges apply and no changes are made to your accounts during the trial.
  • Supervised Mode (first 30 paid days) — upon conversion to a paid subscription, every client enters Supervised Mode for a mandatory thirty (30) calendar days: all recommended actions are sent to you for approval before execution. No client can access Full Autopilot before completing this period.
  • Full Autopilot Mode — after completing the Supervised Period, the AI may execute approved action types autonomously within your defined limits. High-stakes actions still require your approval.

2. Your Responsibilities

You are responsible for:

  • Ensuring the advertising accounts you connect belong to you or that you have authority to manage them.
  • Complying with Google's, Meta's, and TikTok's advertising policies at all times.
  • Setting realistic goals, budget caps, and guardrail limits during onboarding.
  • Reviewing and responding to approval requests within a reasonable time.
  • Ensuring you have the legal right to use any audience data you upload.

3. AI Decision-Making and Liability

Our AI agent makes autonomous decisions within the limits you define. While we build extensive safety systems, no automated system is infallible. You acknowledge that:

  • AI decisions are made based on available data and may not always produce the expected outcome.
  • You retain responsibility for the performance of your advertising accounts.
  • Our liability for losses arising from AI decisions is limited as set out in Section 9 below.
  • The budget caps, guardrails, and approval thresholds you set are your primary protection.

4. Account Connection and Credentials

When you connect your advertising accounts, you grant Abijany access via OAuth. Your credentials are stored exclusively in AWS Secrets Manager — never in our database. You may revoke this access at any time from your dashboard or directly from Google, Meta, or TikTok. Upon disconnection, we immediately revoke API access and delete your credentials.

5. Subscription, Pricing, and Payment

The Service is charged as follows:

  • Platform management fee: £500 per month, inclusive of VAT. This covers AI management of all supported platforms, the client dashboard, and weekly reporting.
  • Performance fee: 5% of total monthly advertising spend exceeding £2,000, across all connected platforms combined, charged in addition to the platform fee and exclusive of VAT (VAT is added at the applicable rate). Example: on £5,000 of monthly ad spend, the performance fee is 5% of £3,000 = £150 + VAT.
  • The 30-day Shadow Mode trial is entirely free of charge; no payment details are required to begin it.

Subscriptions are billed monthly via Stripe. Performance fees are calculated monthly on verified ad spend reported by the advertising platforms and added to your next invoice. You may cancel at any time; cancellation takes effect at the end of the current billing period. We reserve the right to adjust pricing with 30 days' notice.

6. Data and Privacy

Our collection and use of your data is governed by our Privacy Policy, which forms part of these Terms. A full Data Processing Agreement (DPA) is available on request by emailing privacy@abijany.com.

7. Acceptable Use

You must not use the Platform to:

  • Advertise products or services that violate Google's, Meta's, or TikTok's advertising policies.
  • Circumvent advertising platform restrictions or policies.
  • Upload customer data for which you do not have a lawful basis.
  • Attempt to interfere with, reverse-engineer, or exploit the Platform's AI systems.

8. Termination

Either party may terminate the subscription with 30 days' notice. We may terminate immediately for material breach, non-payment, or violation of these Terms. Upon termination, we will cease all activity on your accounts and return access within 24 hours.

9. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability to you for any claims arising under or in connection with these Terms or the Service shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim. For clients who have not yet converted to a paid subscription (free-trial clients), our total liability is limited to £100, as no charges have been paid and no changes are made to advertising accounts during Shadow Mode.

In no event shall we be liable for loss of advertising spend, loss of profits or revenue, loss of business, loss of anticipated savings, loss of goodwill, or any indirect, incidental, special, consequential, or punitive damages — including losses arising from advertising platform policy changes, API outages, or decisions made within your defined guardrails.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
